Privacy Consent Form for Remote Access

You ("Client") request that Snap-on Business Solutions ("Snap-on") remotely access Client's computer, computer system, operating system, application software, data, server and/or network (collectively referred to herein as "Client's System").

As you know, Snap-on provides maintenance services to Client. As part of the maintenance services, you have requested that Snap-on access Client's System via remote access. During the remote access maintenance session Snap-on may record, collect, use, store, record, transfer, and otherwise have access to certain personally identifiable information about you or other people on Client's System ("Personal Data"). Snap-on will have access to Personal Data if you allow Snap-on to access Client's System and Client's System contains Personal Data. The types of Personal Data may include: name, address, phone number, fax number, e-mail address and any other information that is available to you on Client's System.

There are several reasons why Snap-on collects and otherwise accesses this Personal Data. In particular, the collection and access of Personal Data is necessary in order to: (1) improve and maintain Snap-on contractual obligations to perform maintenance; and (2) training of future Snap-on employees that will also be performing maintenance services on behalf of Snap-on.

As Snap-on is part of a larger group of companies operating internationally, it may be necessary to transfer Personal Data to its own operations, or to other subsidiary or affiliated companies, located in the United States, and/or other foreign jurisdictions. Third parties are required by Snap-on to take reasonable technical and organisational measures to protect the security and confidentiality of your data. Third parties do not transfer the data collected to any other entity or person outside of Snap-on.

Snap-on takes reasonable technical and organisational measures to protect the security and confidentiality of Personal Data. These measures will be improved as reasonable in keeping with legal and technological developments.

Please note that you are not required to agree to this consent. However, your failure to sign this consent may interfere with your ability to receive maintenance support for Client's System. If at any time you wish to withdraw this consent and/or exercise your right of access, you should notify Snap-on.

The individual accepting this Agreement on behalf of Client represents and warrants to Mitchell1/Snap-on that such individual has the authority to grant Mitchell1/Snap-on access to Client's System and to bind Client to the terms and conditions of this Agreement

Snap-on may utilize all non-Personal Data received during the remote access session, which is received from a remote software agent(s) that reports system data and service information proactively from Client's System to Snap-on. Client acknowledges and approves of the use of this remote reporting tool on Client's System.

Except as prohibited by law, Snap-on shall have no liability to Client or the individual accepting this Agreement, of any nature whatsoever, arising or resulting from or connected with the access to or use of Client's System via remote access. Client shall indemnify, defend and hold Mitchell1/Snap-on harmless from any loss, fee, cost, expense, damage, liability or claim (including, without limitation, reasonable attorney's fees and costs) arising out of, based upon, or resulting from the access to or use of Client's System via remote access.
